These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User"), and NEXUSNOIR VENTURES SL, located at Calle Nuñez de Balboa 114, Planta 3 Puerta 10, 28006 Madrid, SPAIN ("Company," "we," "us," or "our"), concerning your access to and use of the Foliotrail website, application, and any other media form, media channel, or mobile application related, linked, or otherwise connected thereto (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THESE TERMS. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1. The Service

Foliotrail provides a subscription-based platform that allows Users to observe, in real-time, the personal investment portfolio, trading activity, and related commentary of the Company's founder ("the Author"). The Service is a non-professional, personal financial commentary and trade publication provided for INFORMATIONAL, EDUCATIONAL, AND ENTERTAINMENT PURPOSES ONLY.

2. CRITICAL DISCLAIMER: NOT INVESTMENT ADVICE

ALL CONTENT, DATA, AND INFORMATION PROVIDED THROUGH THE SERVICE IS NOT, AND SHALL NOT BE CONSTRUED AS, FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, A RECOMMENDATION, OR A SOLICITATION TO BUY, SELL, OR HOLD ANY SECURITY, FINANCIAL PRODUCT, OR INSTRUMENT.

The Company is not a registered investment adviser or broker-dealer. The Author is not a licensed financial professional. The content published is impersonal, not tailored to the investment needs of any specific person, and reflects the Author's personal views and actions within their own portfolio. Your financial situation is unique and any investment decisions you make should be based on your own independent research and consultation with a qualified financial professional. YOU BEAR SOLE AND ABSOLUTE RESPONSIBILITY FOR YOUR OWN INVESTMENT DECISIONS AND FINANCIAL RESULTS.

3. Eligibility

To use the Service, you represent and warrant that you: (i) are at least eighteen (18) years of age or the age of legal majority in your jurisdiction; (ii) have the full legal right, power, and authority to agree to these Terms; and (iii) reside in a jurisdiction where our payment processor (e.g., Stripe) operates and where access to the Service is not prohibited by law.

4. User Accounts

To access the subscription features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are solely responsible for safeguarding your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to reclaim usernames or terminate accounts that are inactive, misleading, or violate these Terms.

5. Subscriptions, Payments, and Billing

5.1 Subscriptions

The Service is offered on a subscription basis with recurring billing. By purchasing a subscription, you agree to an initial and recurring periodic subscription fee at the then-current subscription rate, and you accept responsibility for all recurring charges until you cancel your subscription.

5.2 Billing and Payment

You authorize us, through our third-party payment processor, to charge your chosen payment method (e.g., credit card) for the recurring subscription fees. You represent and warrant that you are authorized to use the designated payment method. Subscription fees are billed in advance on the first day of each billing cycle.

5.3 Pricing and Changes to Fees

The subscription fees for the Service will be displayed to you at the time of purchase. WE RESERVE THE RIGHT, IN OUR SOLE DISCRETION, TO CHANGE THE SUBSCRIPTION FEES AT ANY TIME.

• For New Subscribers: Price changes are effective immediately upon being posted on the Service.
• For Existing Subscribers: Any price change to your subscription will become effective only at the end of your then-current billing cycle. We will provide you with commercially reasonable prior notice of any change in subscription fees via the email address associated with your account to give you an opportunity to cancel your subscription before such change becomes effective.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. The cancellation will be effective at the end of your current billing period. You will continue to have access to the Service through the end of your paid billing period. To avoid being charged for the next billing period, you must cancel your subscription before it renews.

5.5 No Refunds

ALL PAYMENTS ARE FINAL, AND ALL FEES PAID ARE NON-REFUNDABLE TO THE FULLEST EXTENT PERMITTED BY LAW. We do not provide refunds or credits for any partial subscription periods or unused content.

5.6 Taxes

You are responsible for any and all applicable taxes, including but not limited to sales tax, use tax, or Value Added Tax (VAT), that may be imposed on your subscription fees.

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by Spanish and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of the material on our Service.

7. Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. Prohibited activities include, but are not limited to: systematic retrieval of data ("scraping"), sharing account login credentials, using the Service in any way that violates any applicable national or international law, and attempting to impersonate another user or person.

8. Termination

We may, in our sole discretion, suspend, disable, or terminate your access to all or part of the Service, with or without notice, for any reason, including, without limitation, a breach of these Terms.

9. Limitation of Liability and Indemnification

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR THE AUTHOR BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICE. YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, AND EXPENSES ARISING FROM YOUR USE OF THE SERVICE OR YOUR BREACH OF THESE TERMS.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Spain. You irrevocably agree that the courts of Madrid, Spain, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

11. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service. If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will be enforced to the fullest extent under law. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
